Terms of sale

Preamble

These General Terms and Conditions of Sale (hereinafter "GTC") apply, without restriction or reservation, to all sales concluded between:

  • Headgrid , a brand headquartered in Chalon-sur-Saône, France, Email: Contact@headgrid.fr

And

  • any adult individual or legal entity acting as a consumer within the meaning of the Consumer Code

wishing to purchase the products offered for sale by the Seller via its website

Any order placed implies full and complete acceptance of these Terms and Conditions.

Article 1 – Definitions

For the purposes of these General Terms and Conditions, the following terms are defined as follows:
1.1. “Product” : any helmet offered for sale by Headgrid , intended for collection and/or karting.
1.2. “Order” : any purchase validated by the Customer according to the procedure described herein.
1.3. “Account” : personal space created by the Customer on the Site to place an order.
1.4. “Delivery” : transfer of physical possession of the Product to the Customer.
1.5. “Carrier” : company mandated to ensure the delivery of the Products.
1.6. “Force majeure” : any irresistible, unforeseeable and external event making it impossible to perform the contract (e.g., strike, natural disaster, war, pandemic).

Article 2 – Purpose

These General Terms and Conditions are intended to define the rights and obligations of the parties in the context of the online sale of Products by Headgrid .

Article 3 – Scope of application

3.1. The General Terms and Conditions apply to any Order placed on the Site, regardless of the country of shipment, subject to the Delivery zones defined in Article 14.
3.2. They prevail over any other contradictory document.

Article 4 – Acceptance of the General Terms and Conditions

4.1. Validation of the Order by the Customer constitutes acceptance of these Terms and Conditions.
4.2. No purchase can be made without prior acceptance.
4.3. The Seller reserves the right to modify its General Terms and Conditions at any time. The applicable General Terms and Conditions are those in effect on the date of the Order.

Article 5 – Products

5.1. Description: The Products are described with the greatest precision (photos, texts).
5.2. Personalization: some Products can be personalized according to the Customer's request.
5.3. Availability: Products are made to order .

Article 6 – Pre-contractual information

Before placing the order, the customer acknowledges having received:

  • the essential characteristics of the Product,

  • the total price including VAT and delivery charges,

  • production and delivery times,

  • information about his right of withdrawal.

Article 7 – Account Creation

7.1. The Customer can create an Account to facilitate their purchases.
7.2. He undertakes to provide accurate and up-to-date information.
7.3. He is responsible for maintaining the confidentiality of his login credentials.

Article 8 – Order

8.1. Steps: Product selection, basket validation, information entry, payment choice, confirmation.
8.2. Confirmation: The Customer receives a summary email of their Order.
8.3. Proof: electronic validation has the same value as a handwritten signature.
8.4. Modification: any request for modification must be made immediately after the Order.

Article 9 – Order Refusal or Cancellation

Headgrid reserves the right to refuse any order for legitimate reasons:

  • previous dispute

  • suspicion of fraud

  • false or incomplete information.

Article 10 – Price

10.1. Prices are expressed in euros, including VAT, excluding delivery charges.
10.2. Delivery costs are calculated at the time of ordering.
10.3. The Seller reserves the right to change its prices at any time, without affecting Orders already validated.

Article 11 – Means of payment

11.1. The Customer may pay by:

  • Bank card (Visa, Mastercard, American Express)

  • Apple Pay ,

  • Google Pay ,

  • PayPal ,

  • Bank transfer .

Article 12 – Payment Terms

12.1. Payments by card, Apple Pay, Google Pay and PayPal are debited immediately.
12.2. Payment by bank transfer must be made within 5 working days .
12.3. After this period, the Order may be cancelled.

Article 13 – Invoicing

13.1. An electronic invoice is sent by email.
13.2. It must be kept by the Customer as proof of purchase.

Article 14 – Production times

14.1. Each Product is made to order.
14.2. The average production time is approximately one month .
14.3. This timeframe may vary depending on the complexity or availability of materials.
14.4. For helmet models with chrome finish, the manufacturing time is longer and estimated between 8 and 10 weeks , due to the specific treatment process and additional polishing and varnishing steps.

Article 15 – Delivery

15.1 Zone

Delivery only in mainland France, Corsica and the European Union .

15.2 Deadlines

The total lead time (production + delivery) may exceed one month .

15.3 Monitoring

A tracking number is provided to the Client.

15.4 Reception

The customer must check the package and report any anomalies within 48 hours .

Article 16 – Retention of Title

The Seller retains ownership of the Products until full payment is received.

Article 17 – Right of withdrawal

17.1. The Customer has 14 days to withdraw.
17.2. This right does not apply to personalized or custom-made products.
17.3. Return shipping costs are the responsibility of the Customer.

Article 18 – Returns and Refunds

18.1. Products must be returned new, complete and in their original packaging.
18.2. The refund will be made within 14 days of receipt.

Article 19 – Guarantees

19.1. Legal guarantee of conformity.
19.2. Warranty against hidden defects.
19.3. All requests must be made to Contact@headgrid.fr .

Article 20 – Liability

20.1. Headgrid is not liable for indirect damages.
20.2. The use of the Products for karting is the responsibility of the Customer.

Article 21 – Force majeure

In the event of force majeure (strikes, disasters, pandemics, wars, etc.), the execution of the contract may be suspended.

Article 22 – Intellectual Property

All elements of the Site (texts, images, logos, design, code) are protected by copyright.

Article 23 – Promotions and discount codes

23.1. Promotions and promo codes are valid only within their validity period.
23.2. They cannot be combined unless otherwise stated.

Article 25 – Personal Data

25.1. Headgrid only collects the data necessary for processing Orders.
25.2. The Client has rights of access, rectification and deletion.

Article 26 – Mediation

In the event of a dispute, the Customer may refer the matter to a consumer mediator in accordance with Article L.612-1 of the Consumer Code.

Article 27 – Partial Nullity

If any provision of these Terms and Conditions is declared invalid, the others shall remain applicable.

Article 28 – Tolerance

The fact that Headgrid The failure to immediately sanction a breach does not constitute a waiver.

Article 29 – Entire Agreement

These Terms and Conditions constitute the entire agreement between the parties.

Article 30 – Applicable Law and Jurisdiction

30.1. The General Terms and Conditions are governed by French law.
30.2. Any dispute shall be submitted to the Commercial Court of Chalon-sur-Saône .
